1. About OSO Finance

OSO Finance is the sole proprietorship of Björn van Beek, registered in the Netherlands under KVK number 42156372. Contact: info@osofinance.nl. Services are provided online.

2. Application of these terms

These terms apply to services supplied to clients acting in the course of their business or profession. They form part of an engagement when provided to the client and accepted with the engagement. Specific written agreements take precedence where they differ from these terms.

3. The engagement

The services, start date, fees and responsibilities are agreed in writing before work begins. Website descriptions provide general information; the accepted quote or engagement letter determines the scope of the work.

4. Scope of services

Services may include bookkeeping, agreed tax returns, annual figures, company accounts and financial guidance. Only services expressly agreed are included. Payroll, additional entities, complex tax matters, objections, appeals and historical bookkeeping corrections require a separate agreement unless expressly included.

5. Bookkeeping packages

Basic covers the agreed bookkeeping and tax filings, including the annual personal income tax return within the agreed scope. It does not include year-round questions, personal support, or handling Tax Administration correspondence. Complete adds agreed bookkeeping questions, Tax Administration support and proactive checks. Financial Advice combines bookkeeping with the agreed advisory support. The engagement specifies volume, complexity and any limits.

6. Client responsibilities

The client supplies complete, accurate and timely information, uploads receipts and invoices, and informs OSO Finance of relevant changes. The client remains responsible for business decisions, the underlying transactions and retaining original records. OSO Finance may request clarification or additional evidence.

7. Deadlines and cooperation

The client must meet the document submission dates agreed for each filing. If information or approval arrives late, OSO Finance will explain the effect on the work and discuss any available extension. Timely filing cannot be promised where necessary information or authorization is missing. Responsibility for any loss depends on its cause and the parties’ respective obligations.

8. Tax returns and approval

Tax returns are prepared from the information supplied and the agreed work. The client must review draft returns when requested and promptly report errors or omissions. Filing takes place with the required approval and authorization. Tax assessments and decisions remain the responsibility of the tax authorities; a particular tax outcome is not guaranteed.

9. Authorization and tax correspondence

The client provides any authorization needed to submit returns or contact the Tax Administration. The client forwards relevant letters promptly, including their deadlines. Support with correspondence is included only where agreed. OSO Finance does not automatically receive every letter addressed to the client.

10. Payments and funds

The client remains responsible for paying taxes, suppliers and other obligations on time. Reminders do not transfer this responsibility. Sending invoices on a client’s behalf is included only if agreed. OSO Finance does not hold client funds or make payments on the client’s behalf.

11. Financial advice

Financial guidance concerns budgeting, cash flow, forecasts, reserves, debt planning and the relationship between business and personal finances. It does not include recommendations for specific investments, insurance or mortgage products, or arranging those products. Forecasts are based on assumptions and are not guarantees. The client makes the final decisions.

12. Professional care

OSO Finance performs the agreed work with reasonable professional care and skill. Bookkeeping and tax preparation do not constitute an audit, assurance engagement or fraud investigation. No audit opinion or assurance report is provided under these services.

13. Fees and additional work

Fees may be monthly, annual or separately quoted. Prices exclude VAT where applicable. Software subscriptions and third-party costs are stated in the quote and may be charged separately. Work outside the agreed scope is discussed and quoted before it begins. Changes to fees or scope require written agreement.

14. Payment terms

Invoices are payable within 14 days of the invoice date unless agreed otherwise in writing. Please raise invoice questions promptly. If payment remains overdue after a reminder and a reasonable opportunity to pay, OSO Finance may suspend work after giving notice and explaining the consequences for deadlines. Statutory interest and reasonable recovery costs may be charged where legally permitted.

15. Communication and availability

Communication takes place online, by email, WhatsApp or scheduled video call. The agreed package determines the support available. Quarterly advisory meetings are arranged together. Messaging does not provide continuous or emergency availability; urgent deadlines should be clearly identified and acknowledged.

16. Confidentiality and personal data

Client information is treated confidentially, except where disclosure is authorized, necessary for the agreed service, or required by law or professional obligations. Personal data is handled as described in the privacy policy. Where a data processing agreement is required, it is agreed separately.

17. Identification and legal obligations

The client cooperates with identification and other checks required by applicable law. OSO Finance may decline or end work if legal or professional obligations prevent it from continuing. Any legally required disclosure or reporting obligation takes precedence over confidentiality to the extent required by law.

18. Software and third parties

Online services may depend on third-party software, banking connections and tax-authority systems. The parties will discuss material interruptions and practical alternatives. The client protects their login credentials and maintains access to their own records. OSO Finance remains responsible for its own obligations when using third-party services.

19. Duration and termination

Unless a different term is agreed in writing, either party may terminate the engagement with one month’s written notice. Fees remain payable for agreed services performed up to termination. Any remaining annual work and its fee must be agreed explicitly; it is not automatically completed after termination. The parties coordinate a reasonable handover of the client’s records.

20. Liability

To the extent permitted by law, OSO Finance’s liability for attributable failure in the agreed services is limited to the fees paid for the relevant services in the preceding twelve months. This limitation does not apply to intentional misconduct or deliberate recklessness by OSO Finance, or where mandatory law prohibits it. The client should report a suspected error promptly and allow a reasonable opportunity to investigate and remedy it where possible.

21. Complaints and disputes

Please send complaints to info@osofinance.nl so we can seek a practical resolution. Dutch law applies. Disputes are submitted to the competent court in the Netherlands unless mandatory law provides otherwise. These terms do not limit any mandatory rights or applicable professional complaints procedures.

22. Changes and contact

A new version of these terms does not automatically change an existing engagement. Applicable changes are communicated and agreed in writing. If a provision is invalid, the remaining provisions continue to apply to the extent legally possible. Questions about these terms can be sent to info@osofinance.nl.
